In exchange for your acceptance of this Agreement, you are authorized to use this website, but only for personal and noncommercial purposes. You cannot use the website to generate revenue or to distribute or redistribute any portion of the website. Our website contains material that is protected by copyright, trademark, or other intellectual property rights, and the website itself is protected as a collective work under the copyright laws of the United States and other countries. You may access and view the content on the website on your computer or other internet compatible device, and make single copies or prints of the content on the website for your personal, internal use only. The website and the services offered on or through it, including any content and materials thereon, are only for your personal, non-commercial use.
You may link to the home page of the website as long as the link does not cast us in a false or misleading light. You agree that if you include a link from any other website to the Xceptional Prep website, such link shall open in a new browser window and shall link to the full version of an HTML formatted page of this website. You are not permitted to link directly to any image hosted on the website or our services, such as using an “in-line” linking method to cause the image hosted by us to be displayed on another website. You may not use metatags or any other “hidden text” that incorporates our website without our express written consent. You agree not to download or use images hosted on this website on another website, for any purpose, including, without limitation, posting such images on another site. You agree not to link from any other website to this website in any manner such that the website, or any page of the website, is “framed,” surrounded or obfuscated by any third party content, materials or branding. If any of these provisions are violated we reserve our rights under the law and may insist that any link to the website be discontinued. We may revoke your right to link to the website from any other website at any time upon written notice to you.
Any commercial distribution, publishing or exploitation of the website, or any content, code, data or materials on the website, is strictly prohibited unless you have received the express prior permission of Xceptional Prep or the applicable rights holder. You may not otherwise download, display, copy, reproduce, distribute, modify, perform, transfer, create derivative works from, sell or otherwise exploit any content, code, data or materials on the website for any commercial purpose. If you make other use of the website, or the content, code, data or materials thereon, except as otherwise provided above, you may violate copyright and other laws of the United States, other countries, as well as applicable state laws and may be subject to liability for such unauthorized use. Xceptional Prep will aggressively enforce its intellectual property rights to the fullest extent of the law, including the seeking of criminal prosecution.
This Agreement constitutes the entire agreement between you and Xceptional Prep concerning the subject matter contained herein and supersedes all prior or contemporaneous representations, proposals, conditions, communications and agreements, whether oral or written, between the parties relating to the subject matter herein and all past courses of dealing or industry custom. The subject matter herein may not be modified except by Xceptional Prep.
This Agreement governs your use of the website (but excluding services, if any, that we may provide to you under a separate written agreement), your contact with us, and the terms and conditions of our services. It completely replaces any prior agreements between you and us.
Even if we act in a way that you believe to be inconsistent with this agreement, those actions will not be deemed a waiver or constructive amendment of this agreement. Similarly, our failure to object to your breach of your obligations under this agreement does not constitute a waiver of any of our rights. Our failure to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision.
If any provision of this agreement is ruled unlawful, void, invalid, or unenforceable, that provision will be severed from this agreement, and the other provisions will remain effective and enforceable. In addition, the severed provision will be deemed replaced with a comparable provision that most closely reflects the intent of the parties.
We reserve the right to terminate, change, suspend or discontinue the website and/or our services at any time without notice, for any reason, including your violation of any of our provisions. The disclaimer and limitation of liability and governing law sections of this user agreement shall survive any such termination. Xceptional Prep may restrict, suspend or terminate your access to the website and/or our services if we believe you are in breach of our terms and conditions or applicable law, or for any other reason without notice or liability.
Disclaimer of Warranty
This website, including, without limitation, all services, content, functions and materials, is provided “as is,” “as available,” without warranty of any kind, either expressed or implied, including, without limitation, any warranty for information, data, data processing services, uptime or uninterrupted access, any warranties concerning the availability, accuracy, usefulness, or content of information, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose, and we hereby disclaim any and all such warranties, express and implied. We do not warrant that the website or the services, content, functions or materials contained therein will be timely, secure, uninterrupted or error free, or that defects will be corrected. We make no warranty that the website will meet users’ requirements. No advice, results or information, whether oral or written, obtained by you from us or through this website shall create any warranty not expressly made herein. Xceptional Prep also assumes no responsibility for, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property on account of your access to, use of, or browsing in the website or downloading of any materials, data, text, images, video, or audio from the website. If you are dissatisfied with the website, your sole remedy is to discontinue using the website.
In no event will we, or our affiliates, or any of our respective investors, directors, officers, employees, agents and suppliers (collectively, the “indemnified parties”), be liable to you or any third party for any direct, indirect, punitive, incidental, special, consequential or other damages, including loss of profits, arising out of or in any way related to the use of this website (including any information, products or services advertised in, obtained on or provided through the website or content created on or through the website).
This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of the services, whether for breach of contract, tortuous behavior, negligence, gross negligence, or under any other cause of action, even if the claim alleges that the indemnified parties’ conduct was willful.
Without limitation of the above in this section, Xceptional Prep and its affiliates, suppliers and licensors make no warranties or representations regarding any products or services ordered via this website, and hereby disclaim, and you hereby waive, any and all warranties and representations made in product or services literature, frequently asked questions documents and otherwise on the website or in correspondence with Xceptional Prep or its agents. Any products and services ordered via the website are provided by Xceptional Prep “as is,” except to the extent, if at all, otherwise set forth in a license or sale agreement separately entered into in writing between you and Xceptional Prep.
Limitation of Liability
You agree to defend, indemnify and hold Xceptional Prep, its affiliates, and its and their directors, officers, employees and agents harmless from any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees, arising in any way from your use of the website, your placement or transmission of any message, content, information, software or other materials through the website, or your breach or violation of the law or of these Terms and Conditions. Xceptional Prep reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with Xceptional Prep’s defense of such claim. If any third party brings a claim, lawsuit or other proceeding(s) against Xceptional Prep based on your conduct or use of the Xceptional Prep website or services, you agree to compensate Xceptional Prep for any and all losses in connection with any such claim, lawsuit or proceeding.
In no event, including but not limited to negligence, shall Xceptional Prep, any affiliate, and its and their directors, officers, employees, agents or content or service providers (collectively, the “protected entities”) be liable for any direct, indirect, special, incidental, consequential, exemplary or punitive damages arising from, or directly or indirectly related to, the use of, or the inability to use, this website or the content, materials and functions related thereto, your provision of information via the website, lost business or lost sales, even if such protected entity has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so some of the above limitations may not apply to certain users. In no event shall the protected entities be liable for or in connection with any content posted, transmitted, exchanged, or received by or on behalf of any user or other person on or through the website. In no event shall the total aggregate liability of the protected entities, including all damages, losses, and causes of action (whether in contract or tort, including, but not limited to, negligence or otherwise) arising from the terms and conditions or your use of the website exceed, in the aggregate, the amount, if any, paid by you to Xceptional Prep for your use of the website.

Xceptional Prep shall be excused from its obligations for any period to the extent that it is prevented from performing, in whole or in part, its obligations under this Agreement, as a result of any acts of God or by any forces beyond its reasonable control and occurring without its fault or negligence (such as tornado, flood, hurricane, earthquake, snow storm, natural disaster, or national or local emergencies such as terrorism, war, etc.).
Xceptional Prep classes will not be automatically cancelled because of weather conditions or disaster. If there are extreme conditions affecting the class location area, such as tornado, flood, hurricane, earthquake, snow storm, natural disaster, or national or local emergencies such as terrorism, war, etc. Xceptional Prep will make the decision to cancel the class(es). Classes will not be cancelled just because of regular poor weather conditions. Xceptional Prep has the sole authority to determine if a class should be cancelled and whether a make-up class will be offered, if any.

Course Registration and Payment
All courses must be paid in full before class start. We accept registrations via our webpage 24 hours a day or by phone at (888) 927-8625, Monday thru Friday from 10:30am – 4pm. Payment can be made via Credit Card or Debit Card with the Visa/MasterCard Logo. We accept Visa, MasterCard, Discover, and American Express. If you do not have a credit card, you may register for a class using our check form. Registrations are accepted on a first-come, first-served basis. There is no registration deadline before the class start date. We suggest that you register as early as possible to secure your seat in class.
Paying by Check or Money Order
We ask that you pay by Credit Card or Debit Card, but if you cannot, you can pay by Check or Money Order. Please print out our check form and mail it in with your full payment. Due to mail transit time and the associate processing time, please mail your Check or Money Order payment well in advance of the Course Start Date.
Payment Plans and Partial Payments
We do not have a payment plan, partial payment, or a need-based sliding scale payment system. To enroll in a course you must pay the full course fee at the time of registration. We accept Visa, MasterCard, Discover and American Express.
Paying at the Door and Walk-In Registrations
We do not allow walk-in registrations to our courses. You must register for our courses over the phone or online. Advance registration is required either online at www.xceptionalprep.com or by calling us toll free at (888) 927-8625. We do not accept payments at the door. Instructors cannot take payments, and are not allowed to admit anyone into the classroom who is not officially registered for the course.
Due to our value-based cost structure we are unable to offer any further discounts on top of our already low course costs. We do not have sales nor do we offer early registration discounts. Our course prices are uniform nationwide.
Due to our value-based cost structure we are unable to offer multiple student discounts to those registering with a friend, sibling, family member, etc. All students are required to pay the same fee. We do not have discounts for two or more students who register together.
Returning Student Policy
We do not have discounts for returning students. Students who would like to retake the course after their free repeat has expired must pay the full course fee again. There are no discounts for returning students who take another type of course (e.g., first course is the SAT, second is the ACT).
Students may add-in late to a course that has already commenced. Late registrations are accepted through the Friday before the second weekend of class. Course materials will not be shipped to students who register late nor can they be picked up from the instructor or the class venue. Students will only receive the course materials at their first class (which for late additions, is the second class of the course). No late additions are allowed after the second week of our courses; we ask that you register early for the next session. If you decide to register late please check the course syllabus for what you will be missing. Course fees become non-refundable upon registration, and there are no refunds once you have attended your first class. Upon registration you will be added to the course roster and your instructor will be notified that you will be entering the class. Students can meet briefly (up to 15 minutes) with their instructor after their first class to catch up on what they have missed from the first week. We do not prorate or discount our course costs if you add-in late to one of our courses. You must still pay the full fee.
Registering for the Wrong Course
We are not responsible or liable for any consequences that may occur should you register yourself or someone else for the wrong course. If your registration is for the wrong course and you catch your mistake prior to the Tuesday before the scheduled start date of your course we will register you for a course of your choosing, should it be available. If there is no course available then your registration will be subject to our normal customer cancellation and refund policy. If you register for the wrong course and do not realize your mistake from the Tuesday before the scheduled start date of your course until after the course begins your entire tuition paid for the course becomes automatically non-refundable. We will try and place you into a course of your choosing, should it be available, but if not, your registration will be subject to our transfers and registration postponement policy. Only a credit will be issued and this credit is non-transferable; no refunds will be given. If there is a difference in course fees because of a course change we will process the difference to your payment method on file.
Customer Cancellations and Refunds
To keep course costs low we only provide refunds under limited circumstances. Upon registration, $125 of your course fee automatically becomes a non-refundable administrative fee; this is included in the price of every course. If you decide to cancel prior to the Tuesday before the scheduled start date of your course we will refund your course fee minus the $125 non-refundable administrative fee. Beginning the Tuesday before the scheduled start date of your course there are no refunds of your course fee should you decide to cancel or not attend. If you decide to cancel during this period or do not show up to your first class, Xceptional Prep will place a credit on file for you to take a course within 6 months of your original course start date. Only a credit will be issued and this credit is non-transferable; no refunds will be given. Once you have attended your first class, there are no refunds of your course fee.
Course Enrollment Waiting Lists
We do not have waiting lists for our courses. Full payment is required at the time of registration. When course enrollment reaches our student maximum, we close out the class and remove it from our website. A closed out course is no longer available for registration under any circumstance. If a course is closed out and a student in that course decides to postpone their registration to another session, we will not substitute anyone into their spot. Once a course has been removed from our webpage we do not have a waiting list should an opening arise. You can check our webpage for other cities nearby to see if those classes are still available. You can also register early for the next start date course in your area.
Course Registrations are non-transferable. You cannot assign your registration to another student, friend, colleague, etc.
Changing Credit Card Payments
If you would like to change the charge card you have registered under, we can do so for a $40 fee. For example, if you have registered under your credit card but a Parent or Friend will be paying for the class, we can refund the charge to your card and authorize the course fee on a new card. We can make these changes up until the Friday before your first class. We cannot make changes to the charge card after your first class had begun.
Webpage Registration Errors
We are not responsible for webpage registration errors due to internet issues, web traffic, cached pages, using expired pages to register, server errors, or the webpage not being properly updated. If you register for a course that is not available but was still present on our website, we will void and cancel your registration, refund your payment (if necessary), and you will not be enrolled into the course. We do not make exceptions for these errors.
Test Registration Fees
Xceptional Prep is not responsible for any fees associated with students’ examination test registration. These fees are independent of our products and registration for the tests are through the test makers, not Xceptional Prep. Xceptional Prep is not responsible for any examination test registration fees should we decide to cancel a course offering. Our course offerings are not related in any way and are independent to you scheduling, paying for, or taking a test.
Course Materials and Instruction
Xceptinal Prep materials and services are the sole and exclusive property of Xceptional Prep. All materials customers receive from Xceptional Prep are for personal and noncommercial use. Students are required to keep Xceptional Prep materials and instruction confidential and no customer may modify, copy, divulge, distribute (in any form), transmit, display, perform, reveal, rent, loan, auction, give away, reproduce, describe, summarize, publish, license, create derivative works from, transfer, or sell any information, products, services or information disseminated and/or obtained from Xceptional Prep to any other person or entity.
Course Materials and Distribution
Course materials are distributed at the first class. We do not mail materials out to students before classes begin. Course materials are not for sale outside of our classroom offerings. All course materials are included in the course cost. The materials distributed at the first class are comprehensive and are for the entire course.
Course Materials for Students Registering Late or for Those who will Miss their First Class
We do not mail out course materials to students who register late or who miss their first class. Students will only receive the course materials at their first class (which in these circumstances is the second class of the course). Course materials cannot be picked up from the instructor or the class venue. There are no exceptions to this policy.
Students who misplace or lose their materials can purchase another set for $50. We do not sell individual components of our materials sets separately. New materials will be provided by either the instructor at the next class or will be shipped directly from us.
Transfers and Registration Postponement
There are different policies depending upon the time you request to postpone your registration.
Before Your First Class
If you decide to postpone your enrollment before your first class, you may transfer to any course that has a start date within 6 months of your original course start date without penalty; however, the entire tuition paid for your course becomes automatically non-refundable. We cannot guarantee any future course or location.
While your Course is in Progress
There are no transfers of enrollment once you have attended your first class. If you need to postpone your course, you may exercise your Free Repeat and begin the course again on the consecutive start date. Please see our Free Repeat Policy Terms and Conditions for more information.
If you agree to a course transfer with us because we have cancelled your originally scheduled course, then the transferred course enrollment policies are the same as if you had originally registered for that particular course.
Class Make-Up Policy
Xceptional Prep offers four options to students who are unable to attend one or more weeks of their course. Xceptional Prep will not grant any type of refund to a student who misses a class, but does encourage each student to utilize one of the following options:
(1) The first option is to meet with your instructor before or after a class to catch up on what you have missed. This will entail a brief overview (up to 15 minutes) of the topics, strategies, and ideas that were discussed in class.
(2) The second option is to exercise the free repeat included with your course and attend the missed class at the next session. In most cases courses are offered year-round and all courses operate under the same format. For example, if you miss Week 3 of your GRE class, then you can make-up that class on Week 3 of the consecutive session; however, this option can be difficult for those who have to meet an admissions deadline.
Please see our Free Repeat Policy for more details. We can’t guarantee future course availability for this option.
(3) Students can make-up a class at another location if it is available, but to streamline our course offerings all of our locations have classes on the same dates and times. If you cannot make a class at your normal date and time you will miss the class at any other location. This option, however, is good for those who will still be available at their normal class date and time but will be away from their class location due to business, school, or family. Please contact email@example.com to determine if there is availability at your desired alternate location and to request this option. You must contact us directly; instructors do not have information for this option and cannot schedule you into another class. We cannot guarantee if another location will be running.
(4) Students can start a course out of sequence if needed (for example, begin Week 2 and complete the course through Week 6 and then take Week 1 at the start of the next session). At the time of registration you can notify us of any class you will be missing, and we can put a notation on your file to inform your instructor. Course materials will be available for you at the first class you attend. We cannot guarantee the availability of a future course if you decide to take the course out of sequence.
Students receive all of their course materials on their first day of class. This allows students to know which topics they will be missing and which homework assignments and practice tests to complete, should a student miss a class.
Instructors will not provide additional hours, tutoring, or a full make-up of missed classes. Students who are absent cannot have a 3rd Party sit in on the class for them to take notes, etc. Xceptional Prep does not recommend missing more than two classes.
Free Repeat Policy
Our courses are guaranteed with a Free Repeat. The terms and conditions:
(1) You have only One Free Repeat.
(2) The Free Repeat is only valid for the consecutive session. This is our next advertised start date for your particular course. The Free Repeat is not good for a course offered after your consecutive session. For some tests your Free Repeat will be before you know your exam scores (e.g., Paper based tests such as the SAT, where it can take about three weeks to know your exam score).
(3) We do not require an explanation for you to exercise your Free Repeat. You may use it if you would like to repeat certain weeks of the course or to take the entire course again. There are no scoring requirements to exercising your Free Repeat.
(4) This repeat is only good for the course type that you registered under (e.g., if you registered for a GRE course you may only repeat a GRE course).
(5) You may repeat the course at any available location.
(6) We cannot guarantee the availability of a course or location for your Free Repeat. If an advertised course is not offered at your requested location for the consecutive session we will offer you two options: (1) transfer to the next closest location or (2) transfer to the next start date at your originally requested location. No refund will be given to students for unavailable courses.
(7) All Free Repeat requests must be made after you have attended at least one class but before the start date of the consecutive session. Requests will be processed and confirmation notices e-mailed within three business days. We cannot accept your free repeat request before your original course begins.
(8) Please note that Free Repeat courses are the exact same course as your original offering with no modifications. Most times they will have the same instructor. Course materials are not re-issued for the Free Repeat.
(9) If you would like to repeat the course outside the conditions of our Free Repeat policy you must re-enroll and pay the full course fee again (e.g., if you want to repeat the course later in the year, etc.). There are no discounts for returning students.
(10) Under no circumstances will we make an exception to our Free Repeat Policy.
Attending Classes at Alternate Locations
If you are going to miss a class due to travel obligations, and will be traveling to one of the other cities in which we hold class, you are welcome to attend class in an alternate location. Please inform us of your desire to attend another location by e-mailing us at: firstname.lastname@example.org. Advanced notice is required. We can’t guarantee that there will be an available class location for the desired transfer city.
Xceptional Prep offers its courses on the same date/time schedule in 27 cities nationwide. If you cannot make a class at your normal date and time you will miss all nationwide class locations on that specific date and time. Although there are minor differences between class schedules and instructors amongst our various locations, class schedules are designed to be uniform throughout our nationwide network.
Refunds for Missed Classes
Xceptional Prep will not grant any type of refund to a student who misses a class. There are no refunds, regardless of reason, for any missed class.
Xceptional Prep does not offer admissions consulting. None of our instructors can provide admissions consulting services outside of our courses.
Online Test Preparation
Xceptional Prep does not offer online test preparation courses. We do not offer video based, streaming, or live online test preparation products.
Xceptional Prep does not offer private tutoring. None of our instructors can provide additional tutoring services outside of our courses.
Company Course Cancellation Policy and Class Availability
Xceptional Prep makes every effort to ensure that our advertised classes are offered as scheduled. Sometimes certain circumstances necessitate a course cancellation (e.g., instructor illness, low course enrollments, conference room availability). Xceptional Prep reserves the right to cancel a course without prior notice, although every effort will be made to notify students as soon as possible. In the event that a course is canceled, students may choose to enroll in the next available course, attend an alternate location or receive a full refund. Although we do our best, we cannot guarantee our course offerings.
Refund Processing Time
When a refund is issued it will take up to 10 business days for it to reflect back to your credit card account. A business day is Monday through Friday and excludes holidays and weekends. If you have paid by check it will take up to 10 business days from the date of refund to receive the refund check.
Course Times, Dates, Locations and Instructors
Course location e-mails are sent the Friday before the course start date. Xceptional Prep will not be held responsible for any student that does not know the time, date, or location of his or her class. All course times, dates, locations, and instructors are subject to change at any time. Xceptional Prep does not disclose specific instructor information and teaching assignments to prospective students. Students will be notified of any and all changes made to their course via their e-mail address provided to Xceptional Prep at the time of registration.
